Terms of Service
The short version. Deskmate is a web app for organising your studies and life. It has a free tier (Desk) and a paid tier (Autopilot Plus). New accounts get 14 days of Autopilot Plus free with no card, then move to Desk unless they choose to pay. You keep ownership of your content. We'll do our best to keep things running but can't promise it never breaks. Your statutory consumer rights are never affected. The full detail is below and in our Billing & Refund Terms.
1. Who we are
Deskmate is operated by [YOUR FULL LEGAL NAME], trading as Deskmate, of [YOUR POSTAL ADDRESS], England ("we", "us"). You can contact us at [SUPPORT EMAIL].
These terms, the Billing & Refund Terms, the Acceptable Use Policy, the Privacy Policy and the Cookie Policy together form the agreement between you and us ("Terms"). If there is a conflict, the Billing & Refund Terms win on payment matters, and these Terms win on everything else.
2. What Deskmate is
Deskmate is a web application that provides tools such as to-do lists, shopping lists, meal planning, a deadline calendar, meeting notes, calendar and email connections, and an AI assistant (together, the "Service"). Features may be added, changed or removed over time (see section 11).
3. Your account
- You must be at least 16 years old and able to form a binding contract to create an account.
- Give us accurate information and keep it up to date, including a working email address.
- Keep your password secure. You are responsible for activity on your account unless it results from our failure to protect it. Tell us promptly if you think your account has been compromised.
- One account per person. Don't share your login with others.
- Deskmate's Desk tier is free. Autopilot Plus is paid, after a free trial with no card required (see the Billing & Refund Terms).
4. Subscription and payment
Deskmate has a free tier and a paid subscription tier, Autopilot Plus. Prices, free trials, renewal, cancellation, refunds, failed payments, promo codes and payment disputes are all set out in the Billing & Refund Terms, which you agree to when you sign up. Please read them before you start a trial or pay.
5. Your content
"Your Content" means everything you put into Deskmate, including tasks, lists, notes, calendar entries, and the content of any messages you send to the assistant.
- You own it. We don't claim ownership of Your Content.
- Licence to us. You give us a limited, non-exclusive, worldwide licence to store, process, copy and display Your Content only as needed to run, secure and support the Service for you (for example, syncing between your devices, backing up, and sending assistant requests to our AI providers at your request). We do not use Your Content to advertise to you and we do not sell it.
- Your responsibility. You are responsible for Your Content and for having the right to use it. Keep your own copies of anything important (see section 9).
6. Connected services (calendars and email)
You can choose to connect third-party services such as Microsoft Outlook / Exchange mail and calendars or Apple Calendar. When you do:
- you authorise us to access those accounts to the extent needed to provide the features you turn on (for example, finding deadlines in emails or syncing events);
- you confirm you are allowed to connect them. If the account belongs to a university, employer or other organisation, you are responsible for complying with its rules and getting any approval it requires;
- you can disconnect at any time in your settings, which stops further access. Some organisations also let you revoke access from their own admin or account pages;
- those services are run by third parties under their own terms. We're not responsible for their availability, changes or decisions (for example, an organisation blocking access).
7. The AI assistant
- The assistant is powered by third-party and self-hosted language models. Its output can be wrong, incomplete or out of date. Check anything important (deadlines, dates, quantities, academic or financial matters) before relying on it.
- The assistant is a productivity aid. It is not professional, legal, medical, financial or academic advice.
- Don't put in anything you don't want processed by our AI providers. See the Privacy Policy for who they are and what is shared.
- We may apply fair-use limits to assistant usage so the Service stays affordable and available for everyone.
8. Acceptable use
You must follow our Acceptable Use Policy. If you seriously or repeatedly break it, we may suspend or end your account as described in section 12.
9. Availability and backups
We aim to keep Deskmate available and working but we can't guarantee uninterrupted or error-free service. There may be downtime for maintenance, updates, or reasons outside our control (including hosting or third-party outages). We take reasonable steps to back up data, but you should keep your own copy of anything you can't afford to lose. If the Service is unavailable for a significant period, you may be entitled to a credit or refund. See the Billing & Refund Terms.
10. Intellectual property
The Service, including its software, design, logo and branding, belongs to us or our licensors and is protected by intellectual property law. While your subscription is active we grant you a personal, non-exclusive, non-transferable right to use it for your own purposes. You must not copy, reverse engineer (except where the law allows), resell, or build a competing product from it.
If you send us feedback or ideas, we may use them without obligation to you, but we won't publicly attribute them to you or reveal Your Content.
11. Changes to the Service and to these Terms
We may update the Service, including adding, changing or removing features. If we make a change to the Terms that materially affects your rights, we'll tell you by email or in the app at least 30 days beforehand (or sooner where required by law or for security). If you don't agree, you can cancel before the change takes effect and, for a prepaid period you can no longer reasonably use because of a change that is significantly to your disadvantage, you'll be entitled to a pro-rata refund. Changes to prices are covered in the Billing & Refund Terms.
12. Suspension and ending your account
By you
You can cancel at any time from your account settings. What happens to your access, payments and data is set out in the Billing & Refund Terms.
By us
We may suspend or end your account if you materially or repeatedly breach these Terms or the Acceptable Use Policy, if you do something that puts the Service or other users at risk, if payment fails and isn't resolved after reminders, or if we are required to by law. Where reasonable we'll warn you first and give you a chance to fix the problem. If we end your account for any reason other than your serious breach, we'll refund any prepaid period that you haven't used. If we end the Service entirely, we'll give you at least 30 days' notice and a way to export Your Content, and refund any prepaid period.
Your data afterwards
You can export Your Content before closing your account. After closure we delete it as described in the Privacy Policy.
13. Our responsibility to you
- Your legal rights. Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited. If you are a consumer, nothing affects your statutory rights, including under the Consumer Rights Act 2015 (for example, that digital content must be of satisfactory quality, fit for purpose and as described, and that services must be performed with reasonable care and skill).
- What we're liable for. If we fail to comply with these Terms, we're responsible for loss or damage you suffer that is a foreseeable result of our breach or our negligence.
- Cap. Subject to the points above, our total liability to you arising from or in connection with the Service in any 12-month period is limited to the total amount you paid us in that period.
- What we're not liable for. Subject to the points above, we are not liable for loss that was not reasonably foreseeable, business losses (the Service is for personal and study use, not business use), or loss caused by your own breach, by third-party services outside our control, or by relying on AI output without checking it.
- Missed deadlines. Deskmate's reminders and calendar tools help you stay organised but are not a guarantee. Do not rely on them as your only way of tracking important deadlines.
14. Disputes and governing law
- Talk to us first. If you have a complaint, contact [SUPPORT EMAIL]. We'll acknowledge it within 3 working days and aim to resolve it within 14 days. Our complaints and payment dispute process is in the Billing & Refund Terms.
- Governing law. These Terms are governed by the law of England and Wales. If you live in Scotland or Northern Ireland you can bring proceedings in your local courts, and if you live elsewhere in the UK or EU, mandatory consumer protections in your country still apply.
- Courts. If we can't resolve a dispute, the courts of England and Wales have jurisdiction, but nothing stops you using any court you are legally entitled to use.
- Alternative dispute resolution. We aren't currently obliged to use a particular ADR provider, but we'll consider in good faith any reasonable request to use mediation or an approved ADR scheme.
15. General
- Entire agreement. These Terms are the whole agreement between us about the Service.
- If part is unenforceable, the rest still applies.
- No waiver. If we don't enforce a right straight away, it doesn't mean we've given it up.
- Transfer. We may transfer our rights and obligations to another organisation if it doesn't reduce your rights, and we'll tell you. You may not transfer your account without our consent.
- Third parties. Nobody else has rights to enforce these Terms (Contracts (Rights of Third Parties) Act 1999).
- Events beyond our control. We aren't responsible for delays or failures caused by events beyond our reasonable control, but this doesn't affect your right to a refund for periods you couldn't use the Service.
